Welcome to Folvi! “We,” “us” and “our” refer to Folvi. Folvi operates this store and website, including its information, content, features, tools, products and related services, to offer you, the customer, a curated shopping experience (the “Services”). Folvi is powered by Shopify Inc., Shopify Commerce Singapore Pte. Ltd. or Shopify International Limited, depending on Folvi's location, enabling us to provide the Services.

These terms and conditions, together with the policies referred to here (the “Terms of Service”), describe your rights and responsibilities when using the Services. Read them carefully: they contain important information about your legal rights, including warranty disclaimers and limitations of liability.

By visiting, interacting with or using the Services, you agree to these Terms of Service and our Privacy Policy. If you do not agree, you must not access or use the Services. These Terms do not limit rights under applicable consumer protection law or other non-waivable legal rights.

1. Access and account

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence and have consented to your minor dependents using the Services on devices you own, purchase or manage. To use the Services, including accessing or browsing our online stores or buying products or services, you may be asked for information such as email, billing, payment and shipping details. You represent and warrant that all information you provide is correct, current and complete and that you have all necessary rights to provide it. You are solely responsible for the security of your account credentials and all account activity. You may not transfer, sell, assign or license your account to another person.

2. Our products

We have made every effort to display our products and services accurately online. Product colors or appearance may differ from what you see on screen due to your device and its settings. We do not guarantee that the appearance or quality of products or services purchased will meet your expectations or exactly match our online displays. Product descriptions may change at any time without notice at our sole discretion. We may discontinue any product at any time and limit quantities offered to any person, geographical region or jurisdiction on a case-by-case basis.

3. Orders

When placing an order, you make an offer to purchase and authorize us and our payment processors to charge your selected payment method for the full order amount. Folvi may accept or reject your order for any reason at its discretion, subject to applicable law. Your order is not accepted until Folvi confirms acceptance. We must receive and process payment before accepting an order. Review your order carefully before submitting it, as we may be unable to accept cancellation requests after acceptance. If we do not accept, change or cancel an order, we may attempt to notify you using the email, billing address or telephone number provided when ordering. Purchases may be returned or exchanged only under our Returns and Refund Policy, without limiting rights under applicable law. You represent and warrant that purchases are for personal or household use and not commercial resale or export.

4. Prices and billing

Prices, discounts and promotions may change without notice. The price charged is the price in effect when the order is placed, as stated in the order confirmation email. Unless expressly stated otherwise, published prices exclude taxes and shipping, handling, customs or import charges. Online prices may differ from prices in physical stores or online or other stores operated by third parties. We may offer promotions governed by separate terms that affect pricing. If promotional terms conflict with these Terms, the promotional terms control.

You agree to provide current, complete and accurate purchase, payment and account information for every purchase, and promptly update your account and other information, including email address, credit card numbers and expiration dates, so we can complete transactions and contact you as needed. You represent and warrant that you are authorized to use the payment method provided; the information is true, correct and complete; the provider will honor your charges; and you will pay the charges at published prices, including shipping, handling and applicable taxes, if any.

5. Shipping and delivery

Unless otherwise stated, we are not responsible for shipping and delivery delays. Delivery times are estimates, not guarantees. We are not responsible for delays caused by carriers, customs processing or events outside our control. To the extent permitted by applicable law, title and risk of loss pass to you when we transfer products to the carrier, unless applicable law provides otherwise. We are not responsible for delays or failures caused by events beyond our reasonable control, including carrier or customs delays, natural disasters, severe weather, labor disputes, supply shortages, utility or telecommunications outages, cyber incidents, government action or similar events. 6. Intellectual property

The Services, including trademarks, brands, text, images, graphics, product reviews, video and audio, belong to Folvi, its affiliates or licensors and are protected by US and international copyright, trademark, intellectual property and other laws. Product listings are also managed and owned by Folvi. Purchasing or receiving a product does not grant intellectual property rights, including patents, copyright, trademarks or other proprietary rights in the product, its design, software or underlying technology. Those rights remain exclusively with Folvi or the original owner.

These Terms allow personal, non-commercial use of the Services only. Without our prior written consent, you must not reproduce, distribute, modify, create derivative works, publicly display or perform, republish, download, store or transmit materials from the Services. Except as expressly provided, these Terms grant no license or other rights under patents, trademarks, copyrights or other intellectual property of Folvi, Shopify or third parties. Unauthorized use may violate intellectual property or other applicable laws. Folvi reserves rights not expressly granted here.

Folvi's names, logos, product and service names, designs and slogans are trademarks of Folvi, its affiliates or licensors and must not be used without Folvi's prior written permission. Shopify's name, logo, product and service names, designs and slogans are Shopify trademarks. Other names, logos, product and service names, designs and slogans on the Services belong to their respective owners.

7. Optional tools

You may receive access to third-party customer tools as part of the Services that we do not monitor, control or influence. You acknowledge and agree that access is provided “as is” and “as available,” without warranties, representations, conditions or endorsement. We have no liability arising from or relating to your use of optional third-party tools. Your use is entirely at your own risk and discretion, and you must ensure you are familiar with and approve the relevant provider's terms. We may offer new features through the Services, including new tools and resources; these are also part of the Services and subject to these Terms.

8. Third-party links

The Services may include materials and links to websites provided or operated by third parties, including embedded third-party functionality. We are not responsible for examining or evaluating the content or accuracy of third-party materials or sites you access. If you leave the Services to access them, you do so at your own risk. We are not responsible for damage or harm relating to your access to third-party websites or purchase or use of their goods, services, resources or content. Review their policies and practices carefully and understand them before transacting. Complaints, claims, concerns or questions about third-party products and services should be directed to those third parties.

9. Relationship with Shopify

Shopify powers Folvi and enables us to provide the Services. When you use the Services, your device communicates with Shopify's systems to provide them. Section 10 explains Shopify's use and processing of information from these interactions. However, all store sales and purchases are directly with Folvi. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of sales between you and Folvi, including injury, damage or loss resulting from purchased products or services. You expressly release Shopify and its affiliates from claims, damages and liabilities arising from or related to your purchases and transactions with Folvi.

10. Privacy policy

Our Privacy Policy explains how we may collect, use and disclose personal information arising from your use of the Services. By using the Services, you acknowledge reading it. Because Shopify hosts the Services, Shopify collects, uses, processes and stores personal information about access to and use of the Services, including transaction information, as you browse and interact. Shopify may use this information to provide, protect and improve the Services, process transactions and help prevent fraud on this and other Shopify-powered sites, among other purposes. Information collected when you visit or use the Services, including automatically collected browsing activity, will be transmitted to and shared with Shopify and third parties potentially located outside your country of residence to provide the services. 11. Feedback

If you submit, upload, publish, email or otherwise transmit ideas, suggestions, comments, reviews, proposals, plans or other content (“Feedback”), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute and display it in any medium for any purpose, including commercial use. We may use these rights to operate, provide, evaluate, improve and promote the Services and fulfill obligations and exercise rights under these Terms.

You represent and warrant that you own or hold all necessary rights to Feedback; have disclosed compensation or incentives received for submitting it; and that it complies with these Terms. We are not required to keep Feedback confidential, pay compensation or respond. We may, but need not, monitor, edit or remove Feedback we determine in our sole discretion to be unlawful, offensive, threatening, libelous, defamatory, pornographic, obscene or otherwise objectionable, or infringing another party's intellectual property or these Terms.

Feedback must not violate third-party rights, including copyright, trademark, privacy, personality or other personal or proprietary rights. It must not contain defamatory, unlawful, abusive or obscene material, computer viruses or other malware affecting the Services or a related website. You must not use a false email address, impersonate another person or mislead us or third parties about Feedback's origin. You alone are responsible for your Feedback and its accuracy. We accept no responsibility for Feedback posted by you or third parties.

12. Errors, inaccuracies and omissions

The Services may contain typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times or availability. We may correct errors, inaccuracies or omissions, change or update information, or cancel orders if information is inaccurate, including after an order is submitted. If we cancel after collecting payment, we will issue any refund required by applicable law.

13. Prohibited uses

13.1 You may access and use the Services only for lawful purposes. You must not directly or indirectly access or use them for unlawful or malicious purposes; violate international, federal, provincial, state or local regulations, rules, laws or ordinances; infringe our or others' intellectual property; harass, abuse, insult, harm, defame, slander, disparage, intimidate or injure employees or others; transmit false or misleading information; send, knowingly receive, upload, download, use or reuse material that does not comply with these Terms; send or procure advertising or promotional material including junk mail, chain letters, spam or similar solicitations; impersonate or attempt to impersonate another person or entity; or engage in conduct that restricts or inhibits anyone's use or enjoyment or that we determine may harm Folvi, Shopify or users or expose them to liability.

13.2 You also agree not to upload or transmit viruses or other malicious code affecting functionality or operation; reproduce, duplicate, copy, scrape, sell, resell or exploit any part of the Services; collect or track others' personal information; spam, phish, pharm or pretext; use robots, spiders, scraping or data collection tools, automated devices or processes, AI tools such as agentic AI, or automated or manual means to access the Services; or interfere with, bypass or circumvent security or authorization features, robot exclusion headers or other access restrictions. We may suspend, disable or terminate your account at any time without notice if we determine you breached any part of these Terms.

14. Agents

14.1 These Agent Terms apply if you use, permit, enable or cause an agent to access, use or interact with any Service. An “Agent” is software or a service taking autonomous or semi-autonomous actions on a person's or entity's behalf or instructions, which may run on their behalf or through their device without direct supervision.

14.2 An Agent must not access, use or interact with the Services unless it identifies itself and operates in strict compliance with section 14.4 at all times. It must also refrain from doing so when we ask it to stop.

14.3 We may limit, including through technical measures, whether and how Agents access, use or interact with the Services.

14.4 Agents must identify every HTTP or HTTPS request as originating from an Agent and disclose its name by including “Agent/[agent name]” in the user-agent string; not hide or obscure Agent access, use or interaction, including by mimicking human behavior or interaction patterns or completing or bypassing CAPTCHAs or other measures distinguishing computer from human use; truthfully answer questions or prompts seeking to determine whether interactions originate from a human or computer; and not bypass or otherwise evade measures intended to block, limit, modify or control whether and how Agents access, use or interact with the Services.

15. Termination

We may terminate this agreement or your access to the Services or any part at our sole discretion, at any time without notice. You remain liable for amounts due up to and including termination. Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy and provisions that by their nature should survive termination remain in effect.

16. Disclaimer of warranties

Information on or through the Services is provided for general information only. We do not warrant its accuracy, completeness or usefulness. Reliance is strictly at your own risk. We disclaim liability arising from reliance by you, another visitor or anyone informed of this content.

UNLESS FOLVI EXPRESSLY STATES OTHERWISE, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THEM ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE. SOME JURISDICTIONS LIMIT OR DO NOT ALLOW DISCLAIMERS OF IMPLIED OR OTHER WARRANTIES, SO THIS DISCLAIMER MAY NOT APPLY TO YOU.

17. Limitation of liability

TO THE EXTENT PERMITTED BY LAW, FOLVI, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, SHALL NOT BE LIABLE FOR INJURY, LOSS, CLAIM OR DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING LOST PROFITS, REVENUE, SAVINGS OR DATA, REPLACEMENT COSTS OR SIMILAR DAMAGES, WHETHER BASED IN CONTRACT, TORT INCLUDING NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR PRODUCTS OBTAINED THROUGH THEM, OR OTHER CLAIMS RELATED TO SUCH USE, INCLUDING CONTENT ERRORS OR OMISSIONS OR LOSS OR DAMAGE CAUSED BY USING THE SERVICES OR CONTENT OR PRODUCTS POSTED, TRANSMITTED OR OTHERWISE MADE AVAILABLE THROUGH THEM, EVEN IF ADVISED OF THE POSSIBILITY. NOTHING IN THESE TERMS EXCLUDES OR LIMITS LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.

18. Indemnification

You agree to indemnify, defend and hold harmless Folvi, Shopify and our affiliates, partners, officers, directors, employees, agents, contractors, licensors and service providers from losses, damages, liabilities or claims, including reasonable attorneys' fees payable to third parties, arising from your breach of these Terms or incorporated documents, violation of law or third-party rights, or access to and use of the Services. We will notify you of indemnifiable claims, although failure to notify promptly does not relieve your obligations unless materially prejudiced. We may control defense and settlement at your expense, including selecting counsel, but will not settle claims requiring non-monetary obligations from you without consent, which must not be unreasonably withheld. You will cooperate in defending indemnified claims, including supplying relevant documents.

19. Severability

If a provision is found unlawful, void or unenforceable, it will remain enforceable to the maximum extent permitted by applicable law and the unenforceable part will be severed. This does not affect other provisions' validity or enforceability. Nothing limits rights under applicable consumer protection or other laws that cannot be waived by contract. If these Terms conflict with those rights, those rights apply.

20. Waiver; entire agreement

Our failure to exercise or enforce a right or provision does not waive it. These Terms and policies or operating rules published on this site or regarding the Services constitute the entire agreement and understanding between you and us and govern your use, replacing previous or contemporaneous oral or written agreements, communications and proposals, including earlier Terms. Ambiguity in interpretation will not be construed against the drafting party.

21. Assignment

You may not delegate, transfer or assign this agreement or your rights or obligations without prior written consent; any attempt is void. We may transfer, assign or delegate these Terms and our rights and obligations without your consent or prior notice.

22. Governing law

These Terms are governed by the law of the jurisdiction where Folvi is headquartered or incorporated, without regard to conflict-of-law principles. You and Folvi agree to the jurisdiction and venue of courts there, except where prohibited by applicable law, and accept their personal jurisdiction. Nothing limits your right to bring claims in local courts or rely on mandatory laws applicable where you live.

23. Translations

These Terms may be available in languages other than English. If English Terms conflict with another language version, the latest English version controls. Disputes arising from these Terms will be resolved in English unless Folvi determines otherwise at its sole discretion or applicable law requires otherwise.

24. Headings

Headings are included for convenience only and do not limit or otherwise affect these Terms.

25. Electronic communications

By using the Services or placing an order, you agree that we may send transactional and service-related communications electronically, including email, account notices or postings on the Services. These may concern orders, accounts, purchases, returns, these Terms or other Service-related matters. You are responsible for keeping contact information current.

26. Changes to the Terms of Service

You may review the current Terms on this page at any time. We reserve the right, at our sole discretion, to update, change or replace any part by posting updates and changes on our website. It is your responsibility to check periodically. We will notify you of material changes as required by applicable law, effective on the date stated in the notice. Continuing to use or access the Services after changes are posted constitutes acceptance.
